Corporate Digitalization Act 2023 – “Disqualification Criteria” for managing directors and changes to the company register procedure
With the GesDigG 2023, the legislator aims, among other things, to protect persons who have business relationships with companies or intend to do so. To this end, grounds for exclusion and disqualification for certain management bodies convicted under commercial criminal law are provided for in the Austrian legal system for the first time. Supervisory board members and authorized signatories are not affected by these provisions.
The commercial court has been given an extended duty of examination, which has also led to changes in commercial register proceedings.
The new law came into force on January 1, 2024.
