NEWSLETTER 05-2023: VIRTUAL SHAREHOLDER MEETINGS AFTER THE END OF THE COVID LEGISLATION
As part of the COVID legislation, it was temporarily possible to hold shareholder meetings virtually. At the end of April 2023, a ministerial draft for the Virtual Shareholders’ Meetings Act (VirtGesG) was submitted to parliament. The law should come into force on July 14, 2023 and make virtual or hybrid shareholder meetings permanently possible. The VirtGesG distinguishes between simple virtual and moderated virtual meetings (with a meeting chair). as well as hybrid meetings.A fundamental difference to the current legal situation according to the COVID-19-GesG is that the holding of virtual or hybrid meetings must be expressly provided for in the partnership agreement (articles of association, statutes). The contractual design of partnership agreements is therefore particularly important in this context and there is a need for concrete action if partnership agreements do not currently provide for any regulations in this regard.You can find out more about this in our current newsletter.
